Why

Acquiring a Managed Service
Provider in the Mid‑Atlantic

KaneVale Enterprises is acquiring a single, well‑positioned managed
service provider within a two‑hour radius of Washington, DC as the
foundation of a focused IT services platform. We value continuity
for employees, customers, and the owner’s legacy.

What We’re Looking To Acquire

We are seeking to acquire a U.S.-based MSP as the foundation of a focused buy-and-build IT services platform, will target MSPs with $500k–$1.5m SDE (<$1.5m EBITDA), strong recurring revenue, and solid technical capabilities, ideally within two hours of Washington, DC (flexible for exceptional opportunities).

Post-acquisition, we plan to expand into cloud, AI, managed infrastructure, and cybersecurity through organic growth and targeted add-ons. We focus on control transactions (typically majority ownership), with seller rollover and structured earn-outs where appropriate.

  • Location: Within approximately a two-hour radius of Washington, DC
  • Size: $500k–$1.5m SDE or under $1.5m EBITDA
  • Profile: Strong recurring revenue and solid technical capabilities
  • Structure: Control / majority ownership, with potential seller rollover and structured earn-outs

Why an MSP‑Led Platform?

MSP as Control Point

MSPs sit closest to customers, managing daily operations. This gives visibility and leverage to offer higher-value services like cloud, AI, cybersecurity, and compliance.

Opportunity for Professionalization

Acquiring and professionalizing a strong MSP enables expansion into adjacent services, building a higher-margin, defensible organization with deeper client relationships.

 Attractive Market

The U.S. MSP market has tens of thousands of founder-led firms serving SMBs and mid-market clients, generating over $200B. Growing IT complexity drives reliance on third-party providers.

 Fragmented Lower Market

The lower MSP market is fragmented, with limited succession planning, uneven service standards, and reactive security. Revenue is durable, but valuations remain attractive due to scaling challenges.

Structural Barriers and Advantage

Cybersecurity, vendor dependency, compliance, and talent limits smaller operators. Experienced buyers can apply discipline and operational rigor to capture this fragmented market.
